MRP Terms and Conditions

This document outlines the Terms and Conditions associated with the ASA Recommender Program. By submitting a name to the Program, Referrer agrees to be bound by these Terms and Conditions.

Definitions

  • Program – the M1 Recommender Program
  • Referrer – any person who submits a Referral to the Program via ASA's website
  • Referral – any person who is a potential customer or who influences the purchase of ASA products whose contact information has been submitted to the Program by a Referrer
  • Entry Date – the exact date and time at which a Referrer is considered to have submitted a Referral to the Program. Entry Date is determined by the sending timestamp of the web form submission information or submission email and is expressed as US Eastern time.
  • Program Lead – a Referral who has been accepted by ASA and assigned to Referrer for the purposes of the Program
  • Fee – the finder's fee to be paid by ASA to Referrer if a Program Lead submits a qualifying Purchase Order in the prescribed time frame and the Referral’s organization completes payment to ASA

Process

  • 1. Referrer submits one or more Referrals to the Program via the entry form on ASA's website (www.amherst-systems.com/MRP.htm) or via email. All submissions must include at a minimum the following information for each Referral:
    • a. Name
    • b. Company
    • c. Phone number and/or email
    • d. Whether the Referral is purchasing a scope, using an existing scope, or is a manager or influencer of scope utilization for an organization
  • 2. ASA will determine whether each Referral is already in ASA's sales process, is an ineligible contact, or is otherwise known to ASA, whether via another Referrer or other means.
  • 3. ASA will respond to the Referrer indicating whether each Referral Referrer submitted has been accepted as a Program Lead or rejected. This response will be sent within 5 business days of Entry Date. Where possible, the reason for rejection will be stated.
  • 4. If a Program Lead submits a qualifying Purchase Order to ASA within 90 days of the Entry Date, Referrer will be notified within 5 business days after product shipment from ASA that they are eligible for a Fee and given the amount and an estimated time of when they should expect to receive said Fee. Note that this time is an estimate only, and cannot be guaranteed by ASA.
  • 5. Referrer will be sent Fee as described in the following section.

Payment

  • 1. If a Program Lead adopts the M1 CIRRUS Program within 90 days of the Entry Date and then submits a Purchase Order to ASA to upgrade to M1 OT Ultimate within 60 days of installing M1 Standard, Referrer will receive a one-time Fee of US$500.00, subject to the restrictions and Rules below. . The Referrer may be eligible for a 10% rate for the fee provided that the Referrer actively participated in the sales process with ASA.
  • 2. If a Program Lead submits a Purchase Order to ASA that includes at least one new M1 OT license within 90 days of the Entry Date, Referrer will receive a one-time Fee equal to 7% of the total value of the Purchase Order, less any freight/shipping costs, applicable taxes, consulting or other services, refundable deposits or other surcharges appearing on the relevant ASA invoice, subject to the restrictions and Rules below.
  • 3. If, in any continuous six (6) month period, Referrer provides ASA with ten (10) or more Program Leads that ultimately result in a Fee, additional Fees for that Referrer under paragraph 2 of this section will be at a rate of 10% for a period of one (1) year from the date on which the tenth (10th) qualifying Purchase Order was placed with ASA.
  • 4. ASA will pay Fee to Referrer within 30 calendar days after receipt by ASA of payment in full for the invoice related to the qualifying Purchase Order from Program Lead. Note that ASA billing is typically Net 30 days, but is sometimes Net 45 days. Also, ASA in some cases may not receive payment until some time after the official invoice due date. Referrer agrees that ASA has no control over the exact timing of payment of the Fee to Referrer.
  • 5. If Referrer's accumulated payments in a single calendar year exceed US$600, ASA is required to issue a 1099-MISC to the IRS. Referrer will need to submit a completed form W-9 to ASA prior to payment of the Fee that pushes your earnings above the $600 level. In the event Referrer doesn't provide this information to ASA within 30 days of being notified, or by December 24th of the year in which the payment is earned, whichever is earlier, the Fee will be forfeited.
  • 6. At most one Fee will be paid by ASA for each qualifying Purchase Order received.
  • 7. If a single Referrer has multiple Program Leads that belong to the same team, and any one of those Program Leads submits a qualifying Purchase Order, only one Fee will be paid to Referrer.
  • 8. Site/Enterprise licensing purchases will qualify under a separate payment plan based on the type of contract and the initial length of the contract terms.

Rules

  • 1. Referrer agrees that all decisions of ASA regarding all aspects of the Program are final.
  • 2. ASA is not responsible for lost web form submissions, lost emails, or other lost communications beyond our control.
  • 3. Referrers are not allowed to submit Referrals from their own company.
  • 4. Referrers and Referrals must be employed within the United States or Canada.
  • 5. If the information submitted for a Referral is incomplete or incorrect, or the Referral is otherwise unqualified, ASA reserves the right to deny acceptance of that Referral as a Program Lead for the Referrer.
  • 6. Referrers who submit an excessive number of Referrals who are not qualified leads for the use of ASA products may be banned from the Program at ASA's discretion.
  • 7. Program Leads expire 90 days after Entry Date. No Referrer will be allowed to resubmit the same name as a Referral for a period of 1 year from original Entry Date.
  • 8. It is Referrer’s responsibility to determine if their participation in the Program would be in violation of any employee agreement between Referrer and Referrer’s employer.
  • 9. ASA will pay Fees only when all required conditions noted above have been met.
